Article I. Purpose

The purpose of this organization is to support our common interest in the art of quilting. The work of the Club shall be designed to benefit and educate all persons interested in preserving and appreciating this art.

Article II. Organization
.......................................................................................................................
   A. Membership is open to anyone with an interest in quilting.
   B. Visitors are welcome for three (3) visits; then they must decide if they want to join.
   C. The Club will meet two (2) days each month. The Executive Board may choose to adjust the meeting days as necessary.
   D. Annual dues, for the year beginning June I and ending May 31 will be charged and will be non-refundable. Dues are payable in May or at the time of joining the Club. Dues will be determined annually at the time of the Election of Officers. Members joining after November 30" will pay one half (1/2) the yearly membership fee.
   E. A quorum for conducting business shall be those members who are present at any given meeting. A simple majority of those present at any meeting will be required for passage of any resolution. No proxies will be accepted.
   F. General Policies, Procedures and Information are attached hereto.

Article III. Membership

   A. Membership in the Guild is granted upon payment of the annual dues.
   B. The formation of interest groups is permitted and must be open to all members.
   C. All activities will be subject to vote of the membership.

Article IV. Officers

   A. The Officers of the Guild shall be a President, a Vice President, a Secretary and a Treasurer. These Officers shall comprise the Executive Board.
   B. The President will be responsible for the general organization of the Guild and will preside over all meetings including meetings of the Executive Board. The President will be responsible for making all meeting arrangements and will see that all officers, other appointees and committees fulfill their duties.
   C. The Vice President will be in charge of membership, will greet all guests, collect dues, coordinate the Mentor Program and maintain a roster of members for the Yearbook. The Vice President will preside over any meetings in the absence of the President.
   D. The Secretary will maintain a record of the proceedings of each meeting and will handle all routine correspondence for the Guild. In the Secretary's absence, one of the other officers will perform the Secretary's duties.
   E. The Treasurer will be responsible for all monies of the Guild, and will maintain an accurate record of all transactions including the depositing of all dues and other monies raised by the Guild and the disbursements of all funds as authorized by the Executive Board. The Treasurer will make a report at each monthly meeting of the Guild and will present an annual report at the June business meeting.

Article V. Election of Officers

   A. In March of each year, the Executive Board will appoint a Nominating Committee Chairman who will select two (2) other Guild members to form the Nominating Committee. This Committee will present a slate of officers at the April meeting and conduct the election. The new slate will take office at the June business meeting.
   B. The President and the Treasurer will be elected in each odd numbered year to serve a two (2) year term. The Vice President and the Secretary will be elected in each even numbered year to serve a two (2) year term.
   C. No more than one (1) term can be served in a particular office, and no more than two (2) consecutive terms can be served on the Executive Board. A two (2) year absence from the Executive Board is required before a member can serve again in this capacity.

Article VI. Executive Board

The Executive Board is comprised of the elected officers.
   A. The Board will appoint all committee chairs and make other appointments as deemed necessary.
   B. The Board will present the annual budget at the first business meeting in September.
   C.  Should a vacancy occur in any office, the Executive Board, by majority vote, will appoint someone to fulfill the un-expired term of the officer.
   D. All members of the Executive Board will provide detailed information of their respective responsibilities to be shared with succeeding officers.

Article VII. Amendments

   A. These Bylaws may be amended from time to time at any business meeting by a simple majority vote of the members present at such meeting provided the amendment has been presented to the Guild at least one (1) business meeting prior to the vote.
   B. A simple majority vote of the members present at any business meeting is required to change the attached General Policies, Procedures and Information.
